Terms of Service

These Terms of Service ("Terms") are a legal agreement between you ("Customer," "you," or "your") and DialVera("DialVera," "we," "us," or "our") for access to and use of the DialVera website, dashboard, AI phone receptionist, and related services (the "Service").
The Service is a digital software subscription delivered online for HVAC and plumbing businesses in the United States. There are no physical goods shipped. Please read these Terms carefully before subscribing.
1. Acceptance of Terms
By creating an account, subscribing, or using the Service, you agree to these Terms, our Privacy Policy, and our Refund Policy. If you are accepting on behalf of a company, you represent that you have authority to bind that company.
If you do not agree, you may not use the Service. We may update these Terms from time to time; continued use after changes constitutes acceptance of the revised Terms.
2. Service Description
DialVera provides an AI receptionist that answers forwarded phone calls on behalf of your business, captures caller and job information, books appointments (where configured), transfers urgent calls, and delivers summaries and alerts through our dashboard.
The Service depends on third-party telephony and AI providers, your phone carrier, and correct call forwarding configuration. Features may vary by plan and are subject to change with reasonable notice.
3. Subscription & Billing
Paid plans are offered on a monthly subscription basis, billed in advance and renewing automatically until you cancel:
Subscriptions are billed in USD through Stripe. Manage your plan, payment method, and invoices from the Stripe billing portal in your dashboard.
- Starter: $99/month (USD)
- Pro: $199/month (USD)
- Growth: $399/month (USD)
Prices exclude applicable taxes unless stated otherwise. You authorize recurring charges on each billing cycle until you cancel through your account or by contacting us. Plan changes take effect according to the terms shown at checkout or in your account.
Free trial. The Starter plan includes a 7-day free trial with 30 AI minutes. A valid payment method is required at signup. Unless you cancel before the trial ends, your subscription converts to a paid Starter plan at $99/month (USD) and your payment method is charged automatically. Trial minutes do not roll over.
Refund policy. We offer a 30-day satisfaction guarantee on your first paid subscription charge. Refunds are prorated based on unused included AI minutes during that first paid billing period — minutes already used incur real telephony and AI costs and are non-refundable. Overage charges are never refunded. See our Refund Policy for the proration formula, cancellation, and billing dispute details.
Overage minutes, if applicable, are charged at the rates displayed on our pricing page or in your account.
4. Usage Limits
Each plan includes a monthly allowance of AI-handled call minutes. Current limits and overage rates are:
- Starter ($99/mo): 200 included AI minutes per month — overage protection $0.45/min (monthly cap applies, default $40)
- Pro ($199/mo): 450 included AI minutes per month — overage protection $0.38/min (monthly cap applies, default $40)
- Growth ($399/mo): 1000 included AI minutes per month — overage protection $0.32/min (monthly cap applies, default $40)
If you exceed your included minutes, Overage Protection may keep Vera answering and charge extra minutes at your plan rate, subject to a monthly cap you control (default $40). We alert you at 70%, 90%, and 100% of your included minutes. If you reach your cap, you receive 10 grace minutes per billing cycle before the Service pauses for additional AI minutes until you raise your cap, upgrade, or your plan renews.
Fair use applies: the Service is intended for normal business call volumes for HVAC and plumbing operations, not for resale, spam, or high-volume call centers without a separate agreement.
5. User Responsibilities
You agree to:
- Configure call forwarding. You are solely responsible for setting up and maintaining call forwarding from your business phone number(s) to your DialVera number, including after-hours, no-answer, and busy rules. We are not responsible for calls that never reach our platform due to misconfiguration or carrier issues.
- Comply with recording and telemarketing laws. You are responsible for compliance with federal, state, and local laws governing call recording, consent, TCPA, Do Not Call rules, and industry regulations. This includes providing appropriate call-recording disclosures to your callers.
- Provide accurate business information and keep account credentials secure.
- Use the Service only for lawful business purposes and not to harass, defraud, or impersonate others.
- Ensure your staff and contractors with dashboard access use the Service appropriately.
6. Limitations of Liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIALVERA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Missed calls and outages. DialVera is not liable for missed, dropped, or unanswered calls caused by carrier outages, internet failures, third-party provider downtime, incorrect forwarding setup, power outages, or events outside our reasonable control. You should maintain backup procedures for emergencies.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIALVERA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID TO DIALVERA IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the greatest extent permitted by law.
7. Termination
You may cancel your subscription at any time through your account billing settings or by contacting us at support@dialvera.com or +8801798604311. Cancellation stops future charges. Refunds on your first paid charge within the guarantee window are prorated by unused AI minutes — see our Refund Policy.
We may suspend or terminate your account immediately if you violate these Terms, abuse the Service, fail to pay fees, engage in fraudulent activity, or use the platform in a way that harms DialVera, other customers, or third parties. Upon termination, your right to use the Service ends; we may delete data according to our Privacy Policy.
8. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service shall be brought in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.
If any provision of these Terms is held unenforceable, the remaining provisions remain in full force.
